Standard Quotation Terms

These Standard Quotation Terms apply to each NexusWize quotation that refers to them. They sit alongside the NexusWize Master Services Agreement, which carries the confidentiality, privacy, intellectual property, warranty, liability and termination terms. The scope, deliverables, dependencies, timing and fees for the engagement are set out in the quotation itself.

1. Formation An accepted quotation takes effect as a Statement of Work under the Master Services Agreement. NexusWize's issue of the quotation is its signature for that purpose, and the Client's signature or online acceptance is the Client's. Nothing separate needs to be signed.
2. Precedence Where these documents differ, the quotation prevails first, then these Standard Quotation Terms, then the Master Services Agreement, and only for the engagement concerned.
3. Scope The scope described in the quotation, together with the priced items, is the full extent of the work. Anything not listed is not included. Where the quotation attaches or links a separate scope document, that document forms part of the quotation.
4. Changes Either party may propose a change at any time. NexusWize will quote the effect on scope, fees and timing, and no change is binding, and NexusWize need not start it, until both parties agree it in writing, including by email.
5. Acceptance of deliverables A deliverable is taken as accepted if the Client does not raise a material issue with it in writing within 5 Business Days of delivery. NexusWize will rectify any valid material issue and resubmit the deliverable.
6. Fees and payment Fees exclude GST. Invoices are due within 14 days. Approved expenses and third-party costs are billed at cost. Software licences, cloud hosting and AI platform usage costs are provisioned by the Client unless the quotation says otherwise.
7. Timing Dates and durations are estimates. They run from the date of acceptance and from receipt of the access, decisions and information listed in the quotation, and delay in providing those extends affected dates.
8. Cancellation If the Client cancels before the work is complete, NexusWize will invoice for the work performed and for any non-cancellable third-party costs committed up to that point. The 30 days' notice period in clause 9.3 of the Master Services Agreement does not apply to an engagement formed under these Standard Quotation Terms.
9. Validity A quotation is open for acceptance until the date stated on it, and may be re-issued after that date at then current rates.

Where these terms apply

These terms are used for shorter engagements, typically five consultant days or less delivered within four weeks. Larger or phased engagements are documented in a full Statement of Work under the Master Services Agreement, and that Statement of Work prevails over these terms where the two differ.
